Acceptance of terms

By accessing, browsing, or placing an order through priconmed.com (the "Site"), you agree to be legally bound by these Terms of Service, our Privacy Policy, and any additional terms referenced herein. If you do not agree with any portion of these terms, you must discontinue use of the Site immediately. These terms constitute a binding agreement between you and American Dental Accessories, Inc.

Eligibility and professional verification

Certain products sold on PriconMed are restricted by federal, state, or local law to licensed healthcare professionals, licensed facilities, or other qualified buyers. By placing an order for any restricted item, you represent and warrant that:

You are at least 18 years of age and have the legal capacity to enter into a binding contract;
You hold all licenses, permits, and authorizations required to purchase, possess, and use the items;
You will use the products only within the scope of your professional practice and in compliance with all applicable laws;
The information you provide during account creation, professional verification, and checkout is true, accurate, and current.

We reserve the right to request documentation of professional credentials at any time and to cancel, hold, or refuse any order pending verification.

Product information and AI-assisted content

We strive to display accurate product information, including images, descriptions, specifications, indications, and pricing. However, some product descriptions, category overviews, buyer's guides, blog content, and related editorial material on this Site have been prepared with the assistance of large language models (LLMs) and other artificial-intelligence tools. While we review AI-generated content for accuracy, such material may contain errors, omissions, or out-of-date information.

AI-assisted content is provided for general informational purposes only and is not a substitute for the manufacturer's official Instructions for Use (IFU), product datasheet, Safety Data Sheet (SDS), regulatory labeling, or the independent professional judgment of a qualified clinician. Before use, you must consult the manufacturer's documentation and verify that the product is appropriate for the intended clinical application.

Errors do occur. We reserve the right to correct any inaccuracy at any time without prior notice and to cancel any order placed on the basis of incorrect product information, pricing, or availability, even after an order has been confirmed.

Orders, acceptance, and cancellation

All orders submitted through the Site are offers to purchase and are subject to our acceptance. We may, at our sole discretion, accept, decline, modify, or cancel any order for any lawful reason, including suspected fraud, pricing or description errors, inventory shortages, professional-eligibility issues, or shipping restrictions. If we cancel an order after payment has been processed, we will refund the affected amount to the original payment method.

Pricing, taxes, and payment

All prices are listed in US Dollars and exclude applicable sales tax, shipping, handling, duties, and other fees, which will be calculated at checkout based on your shipping address and the items ordered. We accept major credit cards, ACH transfers, and approved Net-30 accounts. Payment is due in full at the time of checkout unless credit terms have been pre-approved in writing. Past-due balances may be subject to interest and collection costs to the extent permitted by law.

Shipping, title, and risk of loss

Estimated ship dates are not guaranteed. Title and risk of loss for products pass to you upon delivery to the carrier at our facility (FOB Origin), unless otherwise agreed in writing. Claims for shipping damage or shortage must be reported within the timeframe set out on our Shipping page.

Returns, refunds, and warranties

Returns are governed by our Returns Policy, which is incorporated into these Terms by reference. Many medical products — including sterile, single-use, or temperature-controlled items — are not returnable for safety and regulatory reasons. Products are sold "AS IS" subject only to the manufacturer's express warranty, if any. American Dental Accessories, Inc. makes no warranties of any kind, express or implied, including without limitation any implied warranty of merchantability, fitness for a particular purpose, or non-infringement, except as expressly stated in writing.

Off-label and professional use

Many products listed on the Site are regulated medical devices or professional-use supplies. The licensed healthcare professional placing or directing the order is solely responsible for determining the suitability of any product for a given patient or clinical application, including any off-label use. PriconMed makes no representation regarding the safety or efficacy of off-label use, and providing product information does not constitute medical, clinical, or regulatory advice.

Limitation of liability

To the maximum extent permitted by applicable law, in no event shall American Dental Accessories, Inc., its officers, employees, affiliates, or suppliers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including lost profits, lost data, business interruption, or patient-care impact — arising out of or relating to your use of the Site or any product purchased through it, regardless of the legal theory and even if we have been advised of the possibility of such damages. Our aggregate liability for any claim arising out of or relating to a product or order shall not exceed the amount actually paid by you for the product giving rise to the claim.

Indemnification

You agree to indemnify, defend, and hold harmless American Dental Accessories, Inc. and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use or misuse of any product purchased through the Site; (b) your breach of these Terms; (c) your violation of any law or the rights of any third party; or (d) any clinical decision made by you or staff under your supervision.

Intellectual property

The Site and its content — including text, graphics, logos, images, product photography, buyer's guides, and software — are owned by American Dental Accessories, Inc. or its licensors and are protected by US and international intellectual-property laws. You may not copy, reproduce, scrape, republish, or create derivative works from any portion of the Site without our prior written consent, except for normal browsing and reasonable internal business use related to placing an order.

Acceptable use

You agree not to: (a) use the Site for any unlawful purpose; (b) attempt to gain unauthorized access to any portion of the Site or its underlying systems; (c) interfere with or disrupt the Site or its servers; (d) use any automated means to scrape, harvest, or extract data; or (e) misrepresent your identity, professional credentials, or affiliation.

Third-party links and content

The Site may contain links to third-party websites, manufacturer datasheets, or other external resources. We do not control and are not responsible for the content, accuracy, or practices of any third-party site or resource.

Governing law and dispute resolution

These Terms are governed by the laws of the State of Minnesota, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms or your use of the Site shall be resolved exclusively in the state or federal courts located in Hennepin County, Minnesota, and you consent to the personal jurisdiction of those courts.

Severability and entire agreement

If any provision of these Terms is held to be unenforceable, the remaining provisions shall remain in full force and effect. These Terms, together with the Privacy Policy, Shipping Policy, and Returns Policy, constitute the entire agreement between you and American Dental Accessories, Inc. regarding your use of the Site.

Changes to these terms

We may update these Terms from time to time at our sole discretion. Material changes will be reflected by an updated "Last updated" date at the top of this page. Your continued use of the Site after changes are posted constitutes your acceptance of the revised Terms.
